Terms of Service

1. Acceptance of Terms

By accessing or using Psalmos ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Platform. These Terms apply to all users, including licensees, label partners, and visitors.

2. Description of Service

Psalmos is a digital music licensing platform that provides access to pre-cleared classical music recordings for use in creative projects including video content, film, podcasts, and other media. We partner with record labels to offer synchronization and master use licenses covering worldwide rights across major digital platforms including YouTube, Instagram, TikTok, Facebook, and others.

3. Accounts & Access

Access to the Platform is currently by invitation only. To create an account, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access

You are responsible for all activity that occurs under your account. Psalmos reserves the right to terminate or suspend accounts that violate these Terms.

4. Licenses & Rights Granted

Upon successful payment, Psalmos grants you a non-exclusive, non-transferable, worldwide license to use the licensed recording in your creative project as specified at the time of purchase. This license includes:

  • Synchronization rights for video content
  • Master use rights for the specific recording licensed
  • Coverage across platforms specified in your plan (YouTube, Instagram, TikTok, Facebook, and others)
  • Worldwide territory rights for the duration of your subscription or project license

Licenses are granted per project and per track. Redistribution, resale, or sublicensing of recordings to third parties is strictly prohibited. You may not claim ownership of the underlying composition or recording.

5. Subscription Plans & Billing

Psalmos offers subscription-based access under different plans (Creator, Pro, Studio). Billing is processed monthly or annually depending on your selected plan. By subscribing, you authorize Psalmos to charge your payment method on a recurring basis until you cancel.

Downgrading or cancelling your plan takes effect at the end of the current billing period. Psalmos does not issue refunds for partial billing periods. If you believe a charge is in error, contact us at support@psalmos.io within 30 days.

6. Prohibited Uses

You agree not to use the Platform to:

  • Redistribute, re-license, or resell any licensed recording
  • Use recordings in projects that promote hate speech, violence, or illegal activity
  • Reverse-engineer, scrape, or extract catalogue data in bulk
  • Misrepresent the license status of content you publish
  • Use recordings beyond the scope of your active license tier
  • Share account credentials with third parties

7. Content Takedowns & Disputes

Psalmos works with label partners to ensure all recordings are cleared for commercial use. In the unlikely event that a licensed track generates a Content ID claim on a platform such as YouTube, Psalmos will provide documentation to support your dispute at no additional cost. Disputes must be reported to us within 60 days of the claim being filed.

8. Intellectual Property

All recordings in the Psalmos catalogue remain the property of their respective record labels and rights holders. Psalmos retains all rights to its platform, design, brand, and proprietary technology. Nothing in these Terms transfers ownership of any intellectual property to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Psalmos, its officers, directors, employees, agents, and label partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PSALMOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO GUARANTEES REGARDING THE AVAILABILITY OF SPECIFIC RECORDINGS, WHICH MAY BE REMOVED FROM THE CATALOGUE AT THE DIRECTION OF RIGHTS HOLDERS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PSALMOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. PSALMOS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PSALMOS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

13. Changes to These Terms

Psalmos reserves the right to modify these Terms at any time. We will notify active subscribers by email of material changes at least fourteen (14) days before they take effect. Continued use of the Platform after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Platform.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any license agreements executed through the Platform, constitute the entire agreement between you and Psalmos with respect to your use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
